Terms of Use

1. Parties and Definitions

These Terms of Use (the "Terms") form a binding agreement between Shoptimio (Burak Doğan, autónomo) ("Shoptimio", "we", "the service provider") and the natural or legal person using the Shoptimio platform ("User", "you").

2. Scope of Service

Shoptimio is a SaaS platform offering price intelligence, competitive tracking, catalog management and AI-assisted decision support to Shopify merchants. The platform integrates with Google Merchant Center, Google Ads, Google Analytics, Google Search Console and the Amazon API, among others. Specific integrations may vary by product version.

Shoptimio reserves the right to change, restrict or terminate the scope, features and integrations of the service without prior notice. We will give you reasonable advance notice of material changes at your registered email address.

3. Registration and Account Security

You must register with a valid email address and provide accurate, up-to-date information. You are solely responsible for the security of your account and for all activity carried out through it. Sharing account credentials with third parties is prohibited. If you suspect unauthorised access, you must notify us immediately at [email protected].

4. Subscription and Payment

Shoptimio offers free, monthly and annual paid subscription plans. Current pricing for paid plans is published at shoptimio.com/pricing. Unless otherwise stated, subscriptions automatically renew at the end of each period. Payment is taken at the start of the period. Billing runs through a third-party payment provider; card details are not stored by Shoptimio. Subscriptions follow Shopify subscription rules and the rules of the underlying payment infrastructure.

For EU consumers: Under Directive 2011/83/EU, the 14-day right of withdrawal for digital content and SaaS services is deemed waived once the service has begun with your express consent and acknowledgement. See our Cancellation & Refund Policy for details.

5. Unacceptable Use

The following uses are strictly prohibited:

Using the platform for unlawful, deceptive or harmful purposes
Uploading or processing content that infringes third-party intellectual property rights
Any automated scraping, attack or access attempt that may damage the platform
Reselling, sublicensing or using the platform to build a competing product without Shoptimio's written consent
Using API access in a way that violates Shopify, Google or Amazon terms of service

6. Intellectual Property

All intellectual property rights in the platform, including its design, code, content and trademarks, belong to Shoptimio. These Terms grant you only a limited, non-transferable, non-exclusive licence for personal and commercial use. Data uploaded by users belongs to the user; Shoptimio processes it solely to deliver the service.

7. Privacy and Data Processing

We process your personal data under our Privacy Policy. The platform operates in accordance with the EU General Data Protection Regulation (GDPR), the Spanish Organic Data Protection Law (LOPDGDD 3/2018) and Türkiye's Personal Data Protection Law (KVKK 6698).

8. Disclaimer and Limitation of Liability

Shoptimio does not warrant the accuracy, completeness or fitness for a particular purpose of any pricing recommendations, competitive analyses or AI outputs delivered through the platform. All commercial decisions remain the sole responsibility of the user.

To the maximum extent permitted by applicable law, Shoptimio's total liability is limited to the subscription fee paid in the month the loss occurred. Shoptimio is not liable for indirect, special, incidental or consequential damages.

EU consumers: This limitation does not affect mandatory consumer-protection rights under EU law.

9. Suspension and Termination

Shoptimio may suspend or terminate your account without prior notice if these Terms are breached, payment is not made, or the platform's security is threatened. You may close your account at any time, in which case the Cancellation & Refund Policy applies. Following termination, your data is deleted within 30 days.

10. Governing Law and Dispute Resolution

These Terms are governed by Spanish law. Disputes will first be addressed by good-faith email negotiation between the parties. If unresolved, the courts of Tarragona (Spain) will have jurisdiction.

EU consumers retain the protection of mandatory consumer-protection rules in their country of residence. The EU Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr.

11. Changes

Shoptimio may update these Terms at any time. Material changes will be notified at your registered email address at least 14 days in advance. Continued use of the platform after the change means you accept the new Terms.
